What does liability law mean specifically for entrepreneurs?

As an entrepreneur, you take risks daily. You enter into contracts, deliver products or services, and work with customers, suppliers, and partners. In most cases, this goes smoothly, but as soon as something goes wrong, you quickly deal with liability law. This legal area determines who is responsible for damage and who must compensate for it.

What is liability law?

Liability law governs the question of who is liable for damage and under what conditions compensation must be paid. For entrepreneurs, it almost always concerns financial damage, such as:

  • ✓ loss of revenue
  • ✓ repair costs
  • ✓ costs of replacement services
  • ✓ consequential damage, such as reputational damage or contractual penalties

Within liability law, a distinction is made between two main forms:

  • ✓ Contractual liability – damage because agreements from a contract are not (correctly) fulfilled
  • ✓ Non-contractual liability – damage without a contractual relationship, for example due to an unlawful act

Why entrepreneurs face extra risks

Legally, more diligence is expected from entrepreneurs than from private individuals. After all, you act professionally and often for payment. This means that mistakes are held against you more quickly and that judges impose higher demands on your actions, knowledge, and preparation.

Practical example

You deliver software to a customer. Due to an error in the implementation, the customer temporarily cannot work and loses revenue. The customer holds you liable for this damage. The key question then is: are you liable for all damage, or is your liability contractually limited?

When is action needed?

  • ✓ You receive a liability claim or demand letter
  • ✓ A customer or supplier threatens legal action
  • ✓ You doubt whether you are liable yourself, or whether you can recover damages

In these situations, it is wise not to wait, but to seek legal advice in a timely manner.
