What is Corporate Law?
Corporate law is the area of law that governs the legal relationship between companies, and between companies and their directors, shareholders and other stakeholders. It covers the rules of doing business: how a company is incorporated, who has which powers, how decisions are made and what the consequences are if things go wrong.
In practice, corporate law covers a broad range of topics: the choice of legal form (BV, NV, VOF or partnership), the governance of the company through articles of association and shareholder agreements, the responsibilities and liability of directors and supervisory board members, and resolving conflicts between shareholders or with third parties.
Corporate law also intersects with other areas of law, such as contract law (in cooperation agreements and acquisition contracts), liability law (in director liability) and litigation (in proceedings before the Enterprise Chamber or the court).
